These terms explain the rules for using Replynt and the responsibilities that apply when you use the app, website, or keyboard extension.

These Terms of Use (“Terms”) govern your access to and use of the Replynt application, website, keyboard extension, and related services (collectively, the “Service”). By creating an account, accessing, or using Replynt, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use Replynt. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for activities that occur under your account. You agree to provide accurate information and to notify us promptly if you believe your account has been accessed without authorization.

3. Use of the Service

Replynt provides AI-assisted drafting tools intended to help you generate message suggestions. You remain solely responsible for reviewing, editing, and deciding whether to send any generated output.

• You may use the Service only in compliance with applicable laws and regulations.
• You may not use the Service to harass, abuse, threaten, impersonate, defraud, or violate the rights of others.
• You may not use the Service to generate unlawful, infringing, deceptive, or harmful content.
• You may not attempt to interfere with, disrupt, or gain unauthorized access to the Service or its related systems.

4. User Content

You may submit text, chat exports, profile information, prompts, and other materials to the Service (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Replynt a limited, non-exclusive, revocable license to process, store, and use that content solely to operate, maintain, and improve the Service as described in our Privacy Policy.

You represent that you have the necessary rights to submit User Content and that doing so does not violate any law, contract, confidentiality obligation, or third-party right.

5. AI-Generated Output

The Service may generate suggested replies, summaries, tone profiles, or other outputs using third-party AI providers. AI-generated output may be inaccurate, incomplete, offensive, or unsuitable for your intended purpose. You must exercise independent judgment before relying on or sending any output.

Replynt does not guarantee that generated output will be accurate, lawful, non-infringing, or fit for any particular purpose.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and disclose information.

7. Subscriptions and Payments

Some features of Replynt may require a paid subscription or in-app purchase. Pricing, billing terms, renewal terms, and cancellation options may be presented to you at the time of purchase through the Apple App Store or another authorized platform.

Where purchases are made through Apple, billing and refunds are generally handled by Apple under its applicable terms and policies.

8. Service Availability and Changes

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or free from interruptions, errors, or delays.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, created risk for other users, exposed us to liability, or misused the Service.

10. Intellectual Property

The Service, including its design, software, branding, logos, and other content provided by Replynt, is owned by or licensed to Replynt and is protected by applicable intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law. Replynt disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Replynt and its affiliates, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use arising out of or related to your use of the Service.

To the extent permitted by law, the total liability of Replynt for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid to Replynt for the Service in the 12 months before the claim arose or AUD $100.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Replynt and its affiliates, officers, agents, and service providers from claims, liabilities, damages, losses, and expenses arising out of your User Content, your misuse of the Service, or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of Western Australia, Australia, excluding its conflict of law principles, unless another law applies mandatorily in your jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may update the date above and take other appropriate steps to notify users where required.
